011. Scope
These terms apply to all contracts between 147codez, owner Geranmayeh (Stettfurterstrasse 4b, CH-9548 Matzingen, Switzerland) and customers using AI tools or custom software development. Swiss law applies.
022. AI tool subscriptions
- Subscriptions have a minimum term of 3 months, then cancellable monthly.
- Cancellation can be done at any time via „Manage subscription" in the footer (Stripe customer portal).
- Extraordinary termination for good cause remains reserved for both parties at any time, in particular if 147codez repeatedly or substantially fails to provide the agreed services.
- Upon cancellation, access remains until the end of the current billing month. Access is then blocked. A refund for unused days is excluded.
- With annual billing, no pro-rata refund is possible.
- Existing payment obligations are not affected by cancellation. Open invoices and any reminder fees must be paid in full regardless of the cancellation date.
- Cancellation is possible during an ongoing reminder process. However, cancellation does not release the customer from the obligation to settle all outstanding amounts including reminder fees.
033. Custom software development
Different conditions apply to custom AI tools:
- 50% down payment at project start. The down payment is non-refundable unless 147codez is responsible for the project not being carried out.
- 50% final payment upon acceptance of the finished tool.
- No refund is possible after acceptance.
- The developed tool is built exclusively for the customer and is not sold or passed on to third parties.
- After completion of development, an annual licence fee of CHF 2,000 is due for the right to use the software. In addition, CHF 299/month is charged for hosted access, operation, ongoing updates and support.

- The customer receives a simple, non-transferable usage licence for the tool as long as the annual licence fee is paid.
- The tool is hosted on 147codez infrastructure. The source code is not released.
- If the annual fee is not paid, the licence expires and access is blocked.
- Passing on, copying or reselling the tool to third parties is prohibited without the written consent of 147codez.
- The tool is intended exclusively for the customer's internal use.
077. Scope of services
- 147codez provides the tools as-is. Availability of at least 99% is targeted.
- Maintenance, updates and support are included in the respective package.
- 147codez may adjust or extend the functionality of the tools at any time.
088. Website operation and maintenance
For websites, webshops and web apps, ongoing maintenance is required (flat fee as per the price list or quote, from CHF 90 per month and product). For custom projects, maintenance is set according to the scope of the project. It covers security and software updates, availability monitoring, regular backups, fault resolution and technical support. Minor content changes are included to the extent stated in the quote.
Not included are: new pages, new features and larger rebuilds; effort beyond the agreed scope; third-party costs such as hosting, domain, licences and stock images; as well as damage caused by interventions of the customer or third parties and outages of third-party services. Such services are quoted separately or charged by time at CHF 120/h. Express changes (done within 48 hours) cost a flat CHF 170. Unused maintenance time is non-transferable.
Without agreed maintenance, there is no obligation to provide updates, operation or support after the warranty period has expired.
Business closure: If 147codez ceases its business activities, the customer is notified in writing at least 90 days in advance. Operation continues until the end of this period. Within this period, the customer receives the complete source code of their website or application, an export of all data in a common format, and all credentials for domain, hosting and other services, so that a third party can take over operation. On request, 147codez transfers the existing hosting and service accounts to the customer. This handover is free of charge. If ongoing services were paid in advance, for example operation and maintenance, chatbot operation or tool subscriptions for several months or a year, 147codez refunds the share attributable to the period after the last day of operation. The calculation is based on full months: amount paid divided by the number of months paid, multiplied by the full months in which the service is no longer provided. Example: CHF 290 paid for one year, operation ends after 6 months, CHF 145 is refunded. The refund is made within 30 days of the last day of operation. One-off project services such as websites, shops or web apps are fully rendered upon handover and are not refunded.
099. Data protection and confidentiality
All processed data is subject to the privacy policy of 147codez. Customer data is not passed on to third parties and is used solely to provide the agreed services.
1010. Limitation of liability
Liability for indirect damage, lost profit and data loss is excluded to the extent permitted by law. Total liability is limited to the amount paid in the last 3 months. Liability for intent and gross negligence remains reserved in all cases. AI results are machine-generated and must be reviewed before critical decisions.
1111. Applicable law
Swiss law applies. To the extent permitted by law, the place of jurisdiction is Frauenfeld, canton of Thurgau, Switzerland.
1212. Changes
147codez reserves the right to amend these terms at any time. Customers are informed by email. In the event of material changes, subscribers have a special right of cancellation within 30 days after the minimum term has expired.
