Terms and Conditions

1. Scope

These terms apply to all contracts between 147codez, owner Geranmayeh (Stettfurterstrasse 4b, CH-9548 Matzingen, Switzerland) and customers using AI tools or custom software development. Swiss law applies.

2. AI tool subscriptions

• Subscriptions have a minimum term of 3 months, then cancellable monthly.
• Cancellation can be done at any time via „Manage subscription" in the footer (Stripe customer portal).
• Extraordinary termination for good cause remains reserved for both parties at any time, in particular if 147codez repeatedly or substantially fails to provide the agreed services.
• Upon cancellation, access remains until the end of the current billing month. Access is then blocked. A refund for unused days is excluded.
• With annual billing, no pro-rata refund is possible.
• Existing payment obligations are not affected by cancellation. Open invoices and any reminder fees must be paid in full regardless of the cancellation date.
• Cancellation is possible during an ongoing reminder process. However, cancellation does not release the customer from the obligation to settle all outstanding amounts including reminder fees.

3. Custom software development

Different conditions apply to custom AI tools:

• 50% down payment at project start. The down payment is non-refundable unless 147codez is responsible for the project not being carried out.
• 50% final payment upon acceptance of the finished tool.
• No refund is possible after acceptance.
• The developed tool is built exclusively for the customer and is not sold or passed on to third parties.
• After completion of development, an annual licence fee of CHF 2,000 is due for the right to use the software. In addition, CHF 299/month is charged for hosted access, operation, ongoing updates and support.
• Scope, delivery schedule and requirements are agreed in writing before the project starts.

4. Prices and payment

• All prices in CHF, excluding VAT.
• Payment via Stripe (credit and debit card). Invoice on request for larger projects.
• Invoices are to be paid within 10 days of issue.

6. Licence and usage rights (custom tools)

• All copyright and intellectual property rights in the developed tool remain exclusively with 147codez.
• The customer receives a simple, non-transferable usage licence for the tool as long as the annual licence fee is paid.
• The tool is hosted on 147codez infrastructure. The source code is not released.
• If the annual fee is not paid, the licence expires and access is blocked.
• Passing on, copying or reselling the tool to third parties is prohibited without the written consent of 147codez.
• The tool is intended exclusively for the customer's internal use.

7. Scope of services

• 147codez provides the tools as-is. Availability of at least 99% is targeted.
• Maintenance, updates and support are included in the respective package.
• 147codez may adjust or extend the functionality of the tools at any time.

9. Data protection and confidentiality

All processed data is subject to the privacy policy of 147codez. Customer data is not passed on to third parties and is used solely to provide the agreed services.

10. Limitation of liability

Liability for indirect damage, lost profit and data loss is excluded to the extent permitted by law. Total liability is limited to the amount paid in the last 3 months. Liability for intent and gross negligence remains reserved in all cases. AI results are machine-generated and must be reviewed before critical decisions.

11. Applicable law

Swiss law applies. To the extent permitted by law, the place of jurisdiction is Frauenfeld, canton of Thurgau, Switzerland.

12. Changes

147codez reserves the right to amend these terms at any time. Customers are informed by email. In the event of material changes, subscribers have a special right of cancellation within 30 days after the minimum term has expired.
